The company is meant for business inside its zone and outside the UAE. Selling freely on the mainland can require a branch, a permit, or another structure. A zero tax rate applies only to qualifying income where the substance tests are met.

  1. Describe the activity in plain language. Write what you sell, to whom, and from where. If the website says software and the licence says spare parts, the bank file will stall. Health, education, food, finance, and some recruitment work need outside approval. Add that time before you announce a launch date.
  2. Match the jurisdiction to the customer. If the buyer will only sign with a mainland company, a free zone name is a delay, not a saving. Most operating firms use a limited company, or the free zone equivalent. A foreign branch needs parent documents and often legalisation.
  3. Clear the name and the initial approval. A clean name is often approved in one to two working days. Initial approval lets the file continue. It is not the licence. Do not sign a long lease on a reservation alone.
  4. Complete the papers and the address. Mainland files usually need a notarised memorandum and an Ejari lease. Free zone files use the zone’s forms and the facility in the package. Every name must match the passport. A missing middle name is enough for a return.
  5. Collect the licence and read it. With a complete file, issuance is often three to seven working days. External approvals sit outside that range. Invoices and the bank application must use the legal name exactly.

Opening the Corporate Bank Account

Assume corporate tax applies, then test whether any relief fits. Taxable income up to AED 375,000 is taxed at 0 percent. Income above that is taxed at 9 percent. Salaries are not subject to personal income tax. Do not mix those two rules in a forecast.

A free zone company gets 0 percent only on qualifying income, and only if it meets the qualifying free zone tests. Other income can be taxed at 9 percent. Confirm this before a model assumes a zero rate.

On 7 August 2026, the Ministry of Finance extended Small Business Relief to eligible tax periods ending on or before 31 December 2029, under Ministerial Decision No. 131 of 2026. The revenue threshold remains AED 3 million. The relief has conditions. It is not available to a qualifying free zone person, and it is lost if revenue has already gone over the threshold in a relevant period. The notice is on the Ministry of Finance website.

Register for corporate tax with the Federal Tax Authority even if year one looks quiet. New companies have a short window, and late registration can lead to a penalty. Check your date on the Federal Tax Authority portal.
